The most suitable form of ownership for foreign owners is a limited liability company, or in Polish, a limited liability company (SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ).
The law stipulates that founders are liable to creditors only to the extent of their authorized capital. The minimum authorized capital for this form of ownership is set at 5,000 zlotys (approximately 1,200 euros). However, board members may be liable even with their personal property if they fail to promptly file for bankruptcy in the event of the company's insolvency.
There are no citizenship restrictions for founders when registering an LLC in Poland. Currently, restrictions only apply to citizens of countries subject to EU sanctions.
The optimal number is 2-3 people. The sole founder of an LLC must register with the Social Insurance Fund and pay monthly taxes (approximately €500 per month).
